1. Agreement:

These are the terms and conditions (the "Agreement") governing your use of the website www.dealivore.com (hereinafter referred to as the "Site"). These terms and conditions (including the Privacy Policy and any other terms which have been referred hereinafter) constitute your binding obligations towards ICUMI Technologies Private Limited (hereinafter referred to as "ICUMI Technologies" or "Dealivore"). For the purpose of this Agreement, End User/User/Registered User and wherever the context so require 'You' shall mean any natural or legal person who has agreed to become a member of the Site by providing Registration Data (as defined hereinafter) while registering on the Site using the computer systems of the Site and accepted this electronic version / electronic record of the Agreement and has allocated himself a unique identification user name ("User ID/ Email" and "Password"). As a new Registered User, this Agreement shall be effective and binding upon your "Acceptance". "Acceptance" shall mean your affirmative action in clicking on "check box" and on the "continue" button as provided on the registration page. If you do not agree or are not willing to be bound by the terms and conditions of this Agreement and the Privacy Policies, please do not click on the "check box" and on the "Continue" button and do not seek to obtain access to or otherwise use the Site.

2. Change in the Agreement:

ICUMI Technologies may change the terms of this Agreement from time to time on a going-forward basis, and any such modifications become effective immediately upon being posted to the Site. It is Your sole responsibility to check the Site from time to time to view any such changes in the Agreement. If You do not agree to any changes, if and when such changes may be made to the Agreement, You must cease use of the Site. Your use of the Site after any modifications to the Agreement indicates that You agree to such modified Agreement. By accepting this Agreement, the User has also accepted and agreed to be bound by the Privacy Policy.

3. Services:

Dealivore provides consumers with opportunities to experience products and services from local Merchants (as defined hereinafter) at a discount (a "Deal"). The concept is simple, the more people buy, the more people save. Merchants are willing to offer discounts because they want Your patronage. Some Deals may have some initial requirements, such as a minimum number of purchases before the "Deal is Live" and You have the Deal. By placing an order, you make an offer to us to purchase vouchers you have selected based on standard Dealivore restrictions, merchant-specific restrictions, and on the terms and conditions stated hereof.

4. Eligibility:

The Site is to be used only by persons who can form legally binding contracts under Indian Contract Act, 1872 ("Contract Act"). Persons who are "incompetent to contract" within the meaning of the Contract Act including minors, un-discharged insolvents etc. are not eligible to use the Site. If You are a minor i.e. under the age of 18 years, you shall not register as a member of the Site and shall not purchase for any product on the Site. As a minor if you wish to purchase a product on the Site such purchase may be made by your legal guardian or parents who have registered as users of the Site. ICUMI Technologies reserves the right to terminate your membership and refuse to provide you with access to the Site if it is brought to ICUMI Technologies's notice or if it is discovered that you are under the age of 18 years. Further, if You are registering as a business entity, You represent that you are duly authorized by the business entity to accept the terms of this Agreement and You have the authority to bind that business entity to this Agreement.

5. Account and Responsibility:

You are required to create an account in order to purchase any product on the Site. You hereby authorizes confirm that ICUMI Technologies can collect your contact information such as your mobile number to inter alia provide you with easy access to print your orders, view your past purchases, and modify your preferences. If you use the Site, You shall be responsible for maintaining the confidentiality of your User ID/Email and Password and for restricting access to your computer, computer system and computer network, and you are responsible for all activities that occur under your User ID/Email and Password. You further agree, inter alia, to: (a) provide true, accurate, current and complete information about yourself while filling up the registration form (the "Registration Data"); and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete or ICUMI Technologies has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the Agreement, ICUMI Technologies has the right to indefinitely suspend or terminate your membership with the Site and refuse to provide you with access to the Site.

6. Electronic Communication:

When You use the Site or send emails or other data, information or communication to ICUMI Technologies, You agree and understand that You are communicating with ICUMI Technologies through electronic records and You consent to receive communications via electronic records from ICUMI Technologies periodically and as and when required. ICUMI Technologies may communicate with You by email or electronic records on the Site which will be deemed adequate service of notice / electronic record.

7. Platform:

"Dealivore" provides an interactive online service operated by ICUMI Technologies on the World Wide Web of the Internet, consisting of information services, content and transaction capabilities provided by Dealivore, affiliates of Dealivore and other third parties. The Site is merely a platform for exchange of communication between a Merchant and You, enabling the respective Merchant to offer vouchers in respect of its product and/or services ("Dealivore Certificates"). The Dealivore Certificate you purchase is redeemable for goods or services offered by the respective Merchant of such goods and services (the "Merchant") and the respective Merchant himself/itself is the seller of such goods and services. ICUMI Technologies only sells Dealivore Certificate that can be redeemed in connection with your purchase of the goods or services from Merchant. ICUMI Technologies takes no responsibility for the services or products for which Dealivore Certificates may be redeemed and makes no warranty for the quality, safety, usability, or other aspect of such product or service for which the Dealivore Certificate is redeemed. Some services for which Dealivore Certificate can be redeemed are activities that involve potential bodily harm, and for those activities, Dealivore takes no responsibility for the service or activity being offered, and the End User takes responsibility for his or her own actions in utilizing the services for which the Dealivore Certificate can be redeemed. Please see "Limitations of Liability" section below, for more information on this limitation of ICUMI Technologies's liability. However, it may be noted that in the event of conflict between the terms and conditions specified on the relevant Dealivore Certificate and terms and conditions contained herein, the terms and condition specified on the relevant Dealivore Certificate would prevail. 8. Privacy and information access:

Your privacy is important to us and we will protect it. We will not share your personal information with anyone other than those listed in our Privacy Policy. The Merchants, where you have placed an order, may be provided with your personal information (name, contact number, address and any such information) that may be required to fulfill your order and/or to help you redeem your Dealivore Certificate. Further, by purchasing the Dealivore Certificate, You authorize and grant permission to ICUMI Technologies to send you administrative and promotional emails which shall inter alia includes information regarding your account activity and purchases, updates about new products, promotional offers etc.. However, You can opt-out of the promotional emails anytime by clicking the unsubscribe link at the bottom of any of the email correspondences. Please also see our Privacy Policy for further details. The End User acknowledges that all discussion for ratings, comments, bulletin board service, chat rooms and/or other message or communication facilities (collectively "Communities") are public and not private communications, and that, therefore, others may read End User's communications without End User's knowledge. ICUMI Technologies does not control or endorse the content, messages or information found in any Community, and, therefore, ICUMI Technologies specifically disclaims any liability concerning the Communities and any actions resulting from End Users participation in any Community, including any objectionable content. Generally, any communication which End User posts to ICUMI Technologies (whether in chat rooms, discussion groups, message boards or otherwise) is considered to be non-confidential. If particular web pages permit the submission of communications that will be treated by ICUMI Technologies as confidential, that fact will be stated on those pages. By posting comments, messages or other information on the Site, End User grants ICUMI Technologies the right to use such comments, messages or information for promotions, advertising, market research or any other lawful purpose

9. Use of the Site:

By using the Site (other than to read this Agreement for the first time), End User agrees to comply with all of the terms and conditions hereof. The right to use this Site is personal to End-User and is not transferable to any other person or entity. End User shall be responsible for protecting the confidentiality of End User's password(s), if any. End User acknowledges that, although the Internet is often a secure environment, sometimes there are interruptions in service or events that are beyond the control of Dealivore, and Dealivore shall not be responsible for any data lost while transmitting information on the Internet. While it is ICUMI Technologies’s objective is to make the Site accessible 24 hours per day, 7 days per week, the Site may be unavailable from time to time for any reason including, without limitation, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of the control of ICUMI Technologies, access to the Site may be interrupted, suspended or terminated from time to time. ICUMI Technologies shall have the right at any time to change or discontinue any aspect or feature of the Site, including, but not limited to, the contents, hours of availability and equipment needed for access or use. Further, ICUMI Technologies may discontinue disseminating any portion of information or category of information, may change or eliminate any transmission method and may change transmission speeds or other signal characteristics.

10.Use of Microsites:

This Site and any individual sites or merchant-specific, city-specific, or state-specific sites now or hereinafter contained within or otherwise available through external hyperlinks on the Site (the "Microsites") are private property. All interactions on this Site and/or the Microsites must comply with the terms of this Agreement. All the End Users hereby agree and undertake to use the Site and the Microsites only for lawful purposes. The End User shall not post or transmit through this Site any material which violates or infringes in any way upon the rights of others, or any material which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which, without ICUMI Technologies's express prior, written approval, contains advertising or any solicitation with respect to products or services. Any conduct by an End User that in ICUMI Technologies's exclusive discretion restricts or inhibits any other End User from using or enjoying this Site and/or any of the Microsites is strictly prohibited. The End User shall not use this Site or any of the Microsites to advertise or perform any commercial, religious, political or non-commercial solicitation, including, but not limited to, the solicitation of users of this Site and/or the Microsites to become users of other on- or offline services directly or indirectly competitive or potentially competitive with ICUMI Technologies. The foregoing provisions of this Section apply are for the benefit of ICUMI Technologies and equally beneficial to its parent, its subsidiaries, affiliates and its third party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf.

11.Transaction Charges:

The deal price to be paid by the End User would be displayed on the deal details page excluding transaction charges. At the time of purchase, the total price payable by the End User, including applicable transaction charges, if any, would be clearly shown. The Site offers various modes of payments and the mode of payment used could entail different transaction charges. The details of such transaction charges are detailed in the transaction charges sheet and may change from time to time. Your purchase would only be valid when ICUMI Technologies receives the payment in respect of such purchase. You are responsible for paying all fees associated with the use of the Site and you agree to bear any and all applicable taxes, charges, cesses etc. levied thereon.[

12.Copyright and Trademarks:

Everything located on or in the Site, including the Microsites, is either the exclusive property of ICUMI Technologies or used with express permission of the respective copyright and/or trademark owner. ANY COPYING, DISTRIBUTING, TRANSMITTING, POSTING, LINKING, DEEP LINKING, OR OTHERWISE MODIFYING OF THIS SITE OR ANY OF THE MICROSITES, WITHOUT THE EXPRESS WRITTEN PERMISSION OF ICUMI TECHNOLOGIES IS STRICTLY PROHIBITED. Any violation of these terms may result in a copyright, trademark or other intellectual property right infringement that may subject the End User to civil and / or criminal penalties. This Site contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music, sound, and the entire contents of ICUMI Technologies protected by copyright as a collective work under the applicable copyright laws, including Indian Copyright Act, 1957 (including any amendments or modification or re-enactment thereof). ICUMI Technologies owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. The End User shall not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part. The End User may download / print / save copyrighted material for End User's personal use only. Except as otherwise expressly stated under the applicable copyright laws, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of ICUMI Technologies and the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. The End User acknowledges that he/she/it does not acquire any ownership rights by downloading such copyrighted material of ICUMI Technologies. Trademarks that are located within or on the Site or a Website otherwise owned or operated in conjunction with Dealivore and/or ICUMI Technologies shall not be deemed to be in the public domain but rather the exclusive property of ICUMI Technologies, unless such site is under license from the respective trademark owner thereof in which case such license is for the exclusive benefit and use of ICUMI Technologies, unless otherwise stated. The End User further agrees that it shall not upload, post or otherwise make available on this Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right protected work. ICUMI Technologies does not have any express burden or responsibility to provide the End User with indications, markings or anything else that may aid the End User in determining whether the material in question is copyrighted or trademarked. The End User shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission. By submitting material to any public area of this Site, the End User represents and warrants to ICUMI Technologies that the owner of such material has expressly granted ICUMI Technologies the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. The End User also permits any other end user to access, view, store or reproduce the material for that end user's personal use. End User hereby grants ICUMI Technologies the right to edit, copy, publish and distribute any material made available on this Site by the End User. The foregoing provisions of this Section apply are for the benefit of Dealivore and equally beneficial to its parent, its subsidiaries, affiliates and its third party content providers and licensors and each shall have the right to assert and enforce such provisions directly or on its own behalf.

13.Disclaimer of Warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, DEALIVORE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF AND ACCESS IS PROVIDED ON AN “AS IS” BASIS. DEALIVORE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF The SITE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA DEALIVORE. DEALIVORE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH DEALIVORE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND DEALIVORE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

14.Limitation of Liability:

YOU ACKNOWLEDGE AND AGREE THAT ICUMI TECHNOLOGIES is ONLY WILLING TO PROVIDE ACCESS TO THE SITE AND TO PROVIDE THE SERVICES IF YOU AGREE TO CERTAIN LIMITATIONS OF ITS LIABILITY TO YOU AND TO THIRD PARTIES. IN NO EVENT SHALL ICUMI TECHNOLOGIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF DEALIVORE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (V) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH DEALIVORE BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA DEALIVORE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT DEALIVORE SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. Dealivore is controlled and offered by ICUMI Technologies from its facilities in India and ICUMI Technologies makes no representations that the Site is appropriate or available for use in other locations. Those who access or use the Site from other jurisdictions do so at their own volition and are responsible for compliance with local law. ICUMI TECHNOLOGIES WILL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND THIRD PARTY MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO THE SITE. IN NO EVENT WILL ICUMI TECHNOLOGIES BE LIABLE TO YOU OR ANY THIRD PARTY IN CONNECTION WITH ANY ACT OR OMISSION OF ANY CANDIDATE. You agree to defend, indemnify and hold harmless ICUMI Technologies, its parent company, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party; and (v) the breach of representations and warranties made by You. This defense and indemnification obligation will survive this Agreement and your use of the Site. ICUMI Technologies reserves the right, but has no obligation, to monitor, or take any action ICUMI Technologies deems appropriate regarding disputes that You may have with other customers of the Site. To the extent the law permits, You shall release us from any claims or liability related to any content posted on the Site and from claims related to the conduct of any other customers of ours. THESE LIMITATIONS OF LIABILITY APPLY REGARDLESS OF THE NATURE OF ANY CLAIM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT DEALIVORE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT YOUR SOLE REMEDY FOR ANY CLAIMS ARISING IN CONNECTION WITH THIS AGREEMENT IS TO DISCONTINUE USING THE SITE AND SERVICES. IN THE EVENT THAT A COURT DETERMINES THAT THE PRECEDING SENTENCE IS UNENFORCEABLE, THE AGGREGATE LIABILITY OF DEALIVORE TO YOU FOR ALL CLAIMS ARISING IN CONNECTION WITH THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) ALL AMOUNTS PAID BY YOU UNDER THIS AGREEMENT WITHIN THE LAST TWELVE (12) MONTHS, AND (B) RUPEES FIVE HUNDRED (INR 500) ONLY

15.Grant of License:

By posting communications on or through this Site, End User shall be deemed to have granted to Dealivore a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the communication alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sublicense such rights through multiple tiers of sublicensees.

16.Termination:

ICUMI Technologies may terminate this Agreement at any time. Without limiting the foregoing, ICUMI Technologies shall have the right to immediately terminate any passwords or accounts of End User in the event of any conduct by End User which Dealivore, in its sole discretion, considers to be unacceptable, or in the event of any breach by End User of this Agreement. The provisions of Sections on Limitation of Liability (Section 14) and Miscellaneous provisions (Section 19) will survive termination of this Agreement.

17.Third Party Content:

ICUMI Technologies, similar to an internet service provider, is a distributor (and not a publisher) of content supplied by third parties and the End Users. Accordingly, ICUMI Technologies has no more editorial control over such content than does a public library, bookstore or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, or any other end users are those of the respective author(s) or distributors) and not of ICUMI Technologies. Neither ICUMI Technologies nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content, nor its merchantability or fitness for any particular purpose. (Refer to Section on "Limitation of Liability" above for the complete provisions governing limitation of liabilities and disclaimers of warranty.) In many instances, the content available through the Site represents the opinions and judgments of the respective information provider, the end user, or other user not under contract with ICUMI Technologies. ICUMI Technologies neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made on ICUMI Technologies by anyone other than authorized ICUMI Technologies employee spokespersons while acting in official capacities. Under no circumstances will ICUMI Technologies be liable for any loss or damage caused by an end user's reliance on information obtained through ICUMI Technologies. It is the responsibility of the End User to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, etc., or other content available through Dealivore. Dealivore contains links to third party Websites maintained by other content providers. These links are provided solely as a convenience to you and not as an endorsement by ICUMI Technologies of the contents on such third-party sites and ICUMI Technologies hereby expressly disclaims any representations regarding the content or accuracy of materials on such third-party Websites. If the End User decides to access linked third-party Websites, End User does so at its own risk. Unless you have executed a written agreement with ICUMI Technologies expressly permitting you to do so, you may not provide a hyperlink to the Site from any other website. ICUMI Technologies reserves the right to revoke its consent to any link at any time in its sole discretion.

18.Terms of Sale:

By placing an order on the Site, you make an offer to us to purchase the Dealivore Certificate you have selected, based on the terms and conditions stated hereof. All purchases on the Site are a firm commitment to purchase. If you are the purchaser for any item and your purchase is accepted by us, you are obligated to complete the transaction. Purchases cannot be canceled. By purchasing on an item you agree to be bound by the conditions of sale included in the Dealivore Certificate’s description so long as those conditions of sale are not in violation of the Agreement or unlawful. It is further strongly recommended that you do not test the Site with false purchases, as it will put you at substantial personal legal risk. It is an offence to use a false name, other false personal information or a known invalid Credit Card to purchase. Willfully entering erroneous or fictitious bids may result in prosecution by ICUMI Technologies. Upon purchasing the Dealivore Certificate you must contact the respective Merchant to redeem the same. No refund shall be made if You fail to contact/redeem the Dealivore Certificate within valid time period. You are required to create an account (on the terms specified herein above) in order to purchase any product. This is required so that we can provide you with easy access to print your orders, view your past purchases, modify your preferences, and to ensure permissible use of the product. Dealivore Certificate inter alia can be of following types with the following additional terms and conditions, as specified hereunder:

Terms and Conditions for Restaurant-Specific Certificates

For this section, Restaurant shall be defined as a merchant who offers food and beverage for sale in its regular business operations, and is making such food and beverages available to purchasers of Dealivore vouchers.
  • Redemption frequency is determined by restaurants, and shall be contained in the voucher offer on Dealivore.
  • Use of Restaurant-Specific Certificates for alcoholic beverages is at the sole discretion of the restaurant. Restaurant agrees to comply with all state laws pertaining to the same.
  • It is at the discretion of the restaurant to determine whether Dealivore vouchers can be combined with any other restaurant certificates, third party certificates, coupons, or promotions.
  • Restaurant-Specific Certificates cannot be used for taxes, tips or prior balances, unless permitted by the Restaurant.
  • Valid for dine in only unless otherwise stated.
  • The issuing of restaurant credit is at the sole discretion of the restaurant unless otherwise required by law.
  • Neither the seller nor the restaurant is responsible for lost or stolen certificates or restaurant certificates reference numbers.
  • Reproduction, sale or trade of this Restaurant-Specific Certificate is prohibited unless done so in compliance with the law.
  • Any attempted redemption not consistent with these terms & conditions will render the Restaurant-Specific Certificate void.
  • Void to the extent prohibited by law.
  • The Dealivore offer (including, but not limited to, any discounts) expires on the date specified on the Dealivore voucher, except that the Merchant may continue to redeem the unused cash value you paid for the Dealivore (which is usually less than the original face value of the Dealivore) to the extent required by applicable law.
  • If you redeem the Dealivore for less than its face value, you will not be entitled to a credit, cash or new Dealivore equal to the difference between the face value and the amount you redeemed, unless otherwise required by law. You will only be entitled to a continuing redemption value as noted above if the amount that you paid for the Dealivore exceeds the amount you redeemed.
    For example, if you paid INR250 for Dealivore which entitles you to purchase INR500 of product by February 1, 2010 and you make a purchase for INR400 on January 30, 2010, you will not be entitled to a credit or cash equal to the difference between the INR500 face value and the amount you redeemed. You will not have any redemption value either because the amount you redeemed is more than what you paid for the Dealivore.

Terms and Conditions for Non-Restaurant Merchant Certificates

  • Merchant Certificate may be applied only to merchandise sold by merchant, and may not be applied to shipping or handling charges.
  • Limit one (1) certificate per redemption. Only one certificate can be used per order unless otherwise specified by merchant.
  • The issuing of credit is at the sole discretion of the merchant unless otherwise required by law.
  • Neither the seller nor the merchant is responsible for lost or stolen certificate or certificate's reference number.
  • Certificate cannot be combined with any other gift certificates, third party certificates, coupons, or promotions, unless otherwise specified by merchant.
  • Reproduction, sale or trade of this certificate is prohibited unless done so in compliance with the law.
  • Any attempted redemption not consistent with these terms and conditions will render the certificate null and void.
  • Void to the extent prohibited by law.
  • The Dealivore offer (including, but not limited to, any discounts) expires on the date specified on the Dealivore voucher, except that the Merchant may continue to redeem the unused cash amount you paid for the Dealivore (which is usually less than the original face value of the Dealivore) to the extent required by applicable law.

Additional Terms and Conditions for All Dealivore Products

All vouchers printed from the Dealivore website or any website associated with Dealivore (hereinafter "Vouchers") are promotional vouchers that are offered to customers below their face value and shall be subject to the terms and conditions of Dealivore and the participating Restaurant or merchant. The Merchant is the seller of the goods or services which you are purchasing. The holder and issuer of a Restaurant-Specific Voucher is the restaurant. The holder and issuer of a Merchant Voucher is the merchant. As a holder and issuer of the Voucher, the restaurant or merchant shall be fully responsible for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect of a customer, caused in whole or in part by the restaurant or the merchant, as well as for any unclaimed property liability arising from unredeemed Vouchers. Restaurant-Specific Vouchers and Merchant Vouchers are redeemable in their entirety only and may not be redeemed incrementally. If applicable, this is a statutory provision which applies to the Merchant, and it is the sole responsibility of the Merchant (and in no way the responsibility of Dealivore, as Dealivore is not the Merchant, has no obligations of the Merchant, and is merely selling the promotional voucher on behalf of the Merchant) to comply with such applicable laws and statutes which may govern the Merchant.

19.Miscellaneous:

  • (a) Understanding: This Agreement and the Privacy Policy constitute the entire agreement of the parties with respect to the subject matter hereof. None of the provisions of the User Agreement shall be deemed to constitute a partnership or agency between you and Dealivore and you shall have no authority to bind Dealivore in any manner whatsoever.
  • (b) Notices: Except as explicitly stated otherwise, any notices shall be given by postal mail on behalf of ICUMI Technologies to kind Attention: Sudheer Gentela, Hyderabad, Andhra Pradesh (in the case of ICUMI Technologies) or to the email address you provide to us during the registration process (in your case).
  • (c) Waiver: No waiver by either party of any breach or default hereunder is a waiver of any preceding or subsequent breach or default.
  • (d) Interpretation: The section headings used herein are for convenience only and shall be of no legal force or effect.
  • (e) Severability: If any provision of this Agreement is held invalid by a court of competent jurisdiction, such invalidity shall not affect the enforceability of any other provisions contained in this Agreement and the remaining portions of this Agreement shall continue in full force and effect.
  • (f) The failure of ICUMI Technologies to exercise any of its rights under this Agreement shall not be deemed a waiver or forfeiture of such rights or any other rights provided hereunder.
  • (g) Governing law and jurisdiction: Legal issues arising out of, but not exclusive to the use of, this Site or the Microsites (unless otherwise specifically stated) are governed by and in accordance with the laws of Andhra Pradesh High court (exclusive of its rules regarding conflicts of laws).
  • (h) Dispute Resolution: By using this Site, End User agrees that any dispute or claim arising out of or in connection with If any dispute arises between you and ICUMI Technologies during your use of the Site or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of this Agreement, the dispute shall be referred to a sole Arbitrator who shall be appointed by ICUMI Technologies. The place of arbitration shall be Hyderabad. The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language.
